These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

This Agreement is between you and Kaora Pty Ltd (ABN 79 636 609 544, ACN 636 609 544), referred to in this Agreement as "we", "us" or "our" and whose registered office is at 18 Millicent St, Burwood, Victoria, Australia 3125. We may change these terms at any time by publishing a revised version of the terms and conditions on this website. By continuing to use the website, you agree to be bound by the changes. The law applicable to this website is the law of the State of Victoria, Australia.

You agree to indemnify, defend and hold harmless Kaora and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

 

Terms of Trade

If you purchase any products via this website, you must agree to Kaora's Terms of Trade.

Online Store terms

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site. You may not use our products for any illegal or unauthorised purpose nor may you, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your services.

 

Orders

1. To submit an order for Products (Order), you must:

(a) create an account with Kaora on this website by registering your details and creating an username and password; and
(b) complete and submit the online order through your Kaora account.

2. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

3. All products ordered are for personal use and gifting only. They must not be resold in any form or any place; Kaora reserves the right to take legal action against unauthorised and unofficial sale of goods. 

 

Prices and Payment

1. All prices on the website are in Australian dollars and are inclusive of GST. Prices are subject to change without notice.

2. The amount payable to Kaora for an Order (Order Amount) will be the total of the following amounts:

(a) the sum of the price of each Product ordered as indicated on the website at the time of submitting the Order;
(b) the cost of delivery determined in accordance with Shipping Policy,  and
(c) the sum of any other fees which Kaora levies from time to time and which you have agreed to pay by providing your electronic consent (e.g. subscription fees).
 
3. You must pay the Order Amount by credit card at the time of submitting the Order. Kaora accepts Visa, MasterCard, American Express, Apple Pay, Google Pay and PayPal.

 

Products or Services

Certain products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

We have made every effort to display as accurately as possible the colours and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any colour will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer.

All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

 

Errors, Inaccuracies and omissions

Occasionally there may be information on our site or in the service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability.

We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

We undertake no obligation to update, amend or clarify information in the service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the service or on any related website, should be taken to indicate that all information in the service or on any related website has been modified or updated.

 

GST

1. Where Kaora makes a Taxable Supply to you under or in connection with these Terms of Trade or in connection with any matter or thing occurring under these Terms of Trade and the consideration otherwise payable for the Taxable Supply does not include GST, Kaora will be entitled, in addition to any other consideration recoverable in respect of the Taxable Supply, to recover from you the amount of any GST on the Taxable Supply.

2. In these Terms of Trade, 'GST' means the tax payable on Taxable Supplies under the GST Legislation, 'GST Legislation' means the A New Tax System (Goods and Services Tax) Act 1999 and any related Act imposing such tax or legislation that is enacted to validate, recapture or recoup such tax and 'Taxable Supply' has the meaning given to it in the GST Legislation.

 

Liability

1. Without limiting Kaora's legal rights arising from any failure by you to make a payment in accordance with these Terms of Trade, Kaora reserves the right, in its absolute discretion, to take any of the following actions against you if you fail to make such a payment:

(a) withhold supply and dispose of the Products requested in the Order, and/or
(b) refuse to deal further with you, and Kaora will not be liable to you for any loss or damage directly or indirectly resulting from any such action.

 

2. To the fullest extent permitted by law, the products are sold and information is rendered to you on the understanding that you have sole responsibility for determining the suitability of the Products for the purposes for which you intend to use them.

3. Subject to the following "No Warranty" clauses and to the fullest extent permitted by law, the liability of Kaora for any loss or damage suffered by you as a result of Kaora breaching its obligations under these Terms of Trade or other tortious duty (including arising by reason of defects in the Products) is limited to a refund or replacement of the relevant Products.

 

No Warranty

1. Subject to the following clauses and to the fullest extent permitted by law, Kaora gives no warranty in respect of the products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the service will be corrected.

2. For consumers, the products come with non-excludable warranties and guarantees under consumer protection legislation, such as that Kaora is the rightful owner, the products are reasonably fit for their usual purpose, are of acceptable quality, and match any description or sample. If Kaora breaches any of these non-excludable warranties or guarantees, you are entitled, at your option, to a full refund or replacement of the relevant products.

 

Force Majeure

If Kaora is delayed or hindered in or prevented from performing any of its obligations under any Order by reason of any event or circumstance beyond its reasonable control, Kaora will have no liability to you in respect of such non-performance and the time for performing the same will be extended until the event or circumstance has ceased.

 

Privacy

Personal information provided to Kaora via this website will be handled in accordance with Kaora’s Privacy Policy.

 

Security

Our website is PCI level 1 compliant for credit card processing which means that it adheres to the highest standards of server compliance in the world on payment processing. Our website is encrypted with Secure Sockets Layer (SSL) certificates to ensure that data packets such as your credit card information are sent through the Internet in a safe manner. When collecting credit card information for online purchases, Kaora offers secured server transactions that encrypt your information in transit to prevent others from accessing it. All information is stored on a secure server. Your credit card details are encrypted and then removed from our system once your order has been dispatched. In addition, it also has an excellent fraud prevention system to flag potentially fraudulent orders so that they can manually be reviewed before processing.

Although Kaora engages all reasonable efforts to safeguard the security of your information, transmissions made on or through the internet cannot be guaranteed to be entirely secure. Please contact your financial institution immediately if you become aware of unauthorised use of your account.

You will need to register to use certain parts of this website. When registering, you will be required to nominate a username and password. You must keep this username and password safe and must not disclose this information to any third party. If you become aware of unauthorised use of your account, please notify us immediately.

To the fullest extent permitted by law, these Terms and Conditions together with the Order (as accepted by Kaora), the Refund Policy and Privacy Policy constitute the whole agreement between the parties and supersede all prior discussions and agreements between them.

Orders and these Terms and Conditions will be governed by the law applying in the State of Victoria, Australia, and the parties irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria, and the courts complement to determine appeals from those courts, with respect to any proceedings that may be brought at any time in relation to these Terms and Conditions.
